Terms of sale
Last updated: 15/10/2026
1. Purpose
These general terms of sale govern services offered by Elsässer: diagnosis, deployment of sovereign open-source infrastructure (business suite, migration, hosting, access, monitoring) and managed IT / maintenance.
2. Quote and order
Every service is subject to a quote or commercial proposal. The order becomes firm after written acceptance of the quote by the client.
3. Prices and payment
Prices are stated excluding tax, unless otherwise indicated. Payment terms (deposit, schedule, balance) are set out in the quote. Late payment may incur penalties under applicable regulations.
4. Performance of services
Elsässer undertakes to use the means necessary for proper delivery within the scope defined in the quote. Timelines are indicative unless contractually firm. Services aim at risk reduction; they do not guarantee the absence of incidents.
5. Client obligations
The client provides the information, access (infrastructure, relevant accounts) and validations needed within reasonable timeframes. Without sufficient access, only work deliverable via interview and available evidence can be provided.
6. Intellectual property
Unless otherwise agreed, specific deliverables developed for the client are assigned after full payment. Tools, methods and generic building blocks remain the property of Elsässer.
7. Liability
Elsässer’s liability is limited to direct damages and to the amounts received for the relevant service, within the limits allowed by law.
8. Termination
In case of serious breach by one party of its obligations, the other party may terminate the contract after formal notice remains without effect.
9. Governing law
These terms of sale are governed by French law. In case of dispute, an amicable solution will be sought before any legal action.
These terms of sale are a baseline to be adapted with your final legal notices before commercialization.
